All Non-Distribution and Non-Resale Agreement

This Non-Distribution and Non-Resale Agreement ("Agreement") is effective as of the date of purchase, by and between Le Rouge Beauty Pty Ltd ABN 67907038989  ("Owner") and the purchaser ("Recipient").

WHEREAS, Owner has developed and owns The Ultimate Asian Makeup Course ("Product"), which is subject to copyright protection;

WHEREAS, Recipient desires to access the Product for personal or internal business use only, and not for distribution, resale, or reproduction as their own work;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. Grant of License: Owner grants Recipient a non-exclusive, non-transferable license to use the Product solely for Recipient's personal or internal business use, including the use of templates, resources, and materials provided within the Product.
2. Restrictions on Distribution and Resale: Recipient agrees not to distribute, sell, sublicense, or otherwise make available the Product or any part thereof to any third party. Recipient further agrees not to reproduce the Product, in whole or in part, or create derivative works based on the Product.
3. Intellectual Property Rights: Recipient acknowledges that Owner retains all rights, titles, and interests in and to the Product, including all copyrights and other intellectual property rights therein. This Agreement does not transfer any ownership rights or intellectual property rights to the Recipient.
4. Confidentiality: Recipient agrees to keep the Product confidential and not to disclose or make it available to any third party without prior written consent from the Owner.
5. Breach and Remedies: In the event of a breach by Recipient, Owner shall be entitled to seek injunctive relief, specific performance, or any other equitable remedy, in addition to any other remedies available at law or in equity.
6. Governing Law: This Agreement shall be governed by the laws of Australia.
7. Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.

By purchasing or otherwise obtaining the Product, Recipient acknowledges and agrees to be bound by the terms of this Agreement.

The Ultimate Asian Makeup Course ("Product") provided by Le Rouge Beauty Pty Ltd ABN 67907038989 is intended for informational and educational purposes only. The Owner does not guarantee the effectiveness, accuracy, or suitability of the Product for any particular purpose.

By using the Product, including any provided templates, resources, or materials, the user acknowledges and agrees that:

1. No Guarantees: The Owner makes no representations or warranties regarding the outcomes or results achievable through the Product.
2. Limitation of Liability: The Owner shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use of the Product, including any loss of profits, data, or business opportunities.
3. User Responsibility: The user assumes full responsibility for applying techniques, strategies, and advice from the Product. The Owner shall not be responsible for any consequences arising from the use or misuse of the Product.
4. "As Is" Basis: The Product is provided "as is" without warranties of any kind. The Owner disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose.
5. Compliance: Users acknowledge that the provided content may require further review to ensure compliance with applicable laws and standards. Legal or professional advice may be recommended.
6. Indemnification: Users agree to indemnify and hold the Owner harmless from any claims, damages, losses, or expenses arising from their use of the Product.

This disclaimer shall be governed by the laws of Queensland, Australia.

12 Month Access Policy

Upon purchase, Recipient will receive access to the Product and all associated materials for a period of 12 months (365 days) from the date of enrolment. After this period, access will automatically expire unless otherwise stated or extended at the sole discretion of If the Owner decides to discontinue the Product, Recipient will receive six months’ notice before termination via the email address provided at the time of purchase. During this period, Recipient may download any available materials for personal use.

At the end of the 12-month period, Recipient will no longer be able to access the course content or associated materials unless a new subscription or access extension is purchased (if available) or lifetime access was explicitly stated at the time of purchase. 

Owner reserves the right to modify or discontinue any part of the course, including content and features, at any time without notice. If major changes affect access during Recipient's 12-month term, reasonable accommodations will be made. 

Note that even after downloading, the content of the discontinued course remains subject to the usage and copyright agreements outlined above.

Errors in Pricing

Owner reserves the right to correct any pricing errors, regardless of whether payment has been received. Should a correction occur, Owner will notify Recipient in writing via email to allow Recipient to take appropriate action.

No Refunds and Return Policy

Please understand that all sales are final upon payment. Due to the digital nature of the Product, refunds will not be provided once access has been granted, unless required by law or clearly stated in a separate refund policy.
